Abstract
The aim of this paper is to provide an overview of corporate governance models in joint stock companies in Italian law. The main particularity of Italian law is the fact that companies can opt for one of the three models: one-tier and two-tier (that exist in other countries) and so called traditional model that exists solely in Italy. Traditional model is still the predominant choice of most companies. One-tier and two-tier models, although inspired by the Anglo-Saxon and German traditions, have certain features in Italian law that reflect the specifics of the Italian system. In order to better understand the conditions under which these models developed, the paper will also summarize the basic characteristics of the Italian market and the legislative reforms implemented in order to improve corporate governance.
